1. Acceptance of Terms
By accessing or using TakeOne, including via computer, mobile device, or application, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform. These Terms apply to the entire contents of TakeOne and to any services, features, or functionality provided by TakeOne. We reserve the right to update these Terms at any time without notice. By using TakeOne after any changes, you accept the revised Terms.
2. Use of Services
TakeOne grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform strictly in accordance with these Terms. You agree not to use TakeOne for any unlawful purpose or in any way that could damage, disable, overburden, or impair the platform. You may not attempt to gain unauthorized access to any portion of TakeOne, other accounts, computer systems, or networks connected to TakeOne. You agree not to use any automated means, including bots, scrapers, or data mining tools, to access or collect data from TakeOne without our express written consent.
3. Registration and Account Security
To access certain features of TakeOne, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TakeOne immediately of any unauthorized use of your account or any other breach of security. TakeOne will not be liable for any loss or damage arising from your failure to comply with this section. If false or inaccurate information is provided, TakeOne reserves the right to terminate your account without notice or refund.
4. User Provided Content
You are solely responsible for all content, materials, and information you submit, post, upload, or otherwise make available through TakeOne ("User Provided Content"). By submitting User Provided Content, you grant TakeOne a royalty-free, non-exclusive, worldwide, perpetual, irrevocable, and sublicensable license to host, use, modify, display, copy, reproduce, distribute, and create derivative works of such content for the purposes of operating and improving the platform. TakeOne does not acquire ownership rights over your User Provided Content. However, TakeOne reserves the right to review, moderate, remove, or block access to any User Provided Content that it deems, in its sole discretion, to be inappropriate, unlawful, or in violation of these Terms.
5. Content Standards
You agree that any User Provided Content you submit must not: (a) be false, misleading, or deceptive; (b) infringe any third-party intellectual property, privacy, or other rights; (c) contain viruses, malware, or any other harmful code; (d) constitute spam, unsolicited advertising, or promotional material; (e) contain sexually explicit, violent, hateful, or discriminatory material; (f) violate any applicable local, national, or international law or regulation; or (g) impersonate any person or entity. TakeOne reserves the right, but not the obligation, to monitor User Provided Content and to enforce these standards.
6. Proprietary Rights
All content, features, and functionality of TakeOne — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of TakeOne or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from TakeOne without our express prior written permission. Any unauthorized use of TakeOne's intellectual property may violate applicable laws and could result in legal action.
7. Privacy Policy
Your use of TakeOne is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and share information about you when you use our platform. By using TakeOne, you consent to the collection and use of your information as described in our Privacy Policy. TakeOne may access, preserve, and disclose your account information and User Provided Content if required by law or if we believe in good faith that such access is necessary to comply with legal process, enforce these Terms, respond to claims, or protect the rights, property, or safety of TakeOne, its users, or the public.
8. Disclaimer of Warranties
TakeOne is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. TakeOne expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TakeOne does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Any advice, information, or content obtained through TakeOne is for informational purposes only and should not be relied upon as professional advice. TakeOne makes no representations or warranties regarding the accuracy, reliability, or completeness of any content on the platform.
9. Limitation of Liability
To the fullest extent permitted by applicable law, TakeOne and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use TakeOne. In no event shall TakeOne's total liability to you for all claims arising out of or relating to these Terms or your use of TakeOne exceed the greater of (a) the amount you paid to TakeOne in the twelve months preceding the claim, or (b) one hundred dollars ($100).
10. Indemnification
You agree to defend, indemnify, and hold harmless TakeOne and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of TakeOne; (b) your User Provided Content; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property or privacy rights; or (e) your violation of any applicable law or regulation. TakeOne reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree not to settle any such claim without TakeOne's prior written consent.
11. Termination
TakeOne reserves the right to suspend or terminate your access to the platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law, or if your conduct is harmful to other users, third parties, or TakeOne. Upon termination, your right to use TakeOne will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability. You may terminate your account at any time by contacting us or using the account deletion feature within the platform.
12. Copyright Notices and Complaints
TakeOne respects the intellectual property rights of others and expects users to do the same. If you believe that any content on TakeOne infringes your copyright, please contact us with the following information: (a) a description of the copyrighted work you claim has been infringed; (b) the URL or location of the allegedly infringing content; (c) your contact information; (d) a statement that you have a good faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf. We will respond to valid notices in accordance with applicable law.
13. Third-Party Links and Services
TakeOne may contain links to third-party websites, services, or resources that are not owned or controlled by TakeOne. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit. TakeOne shall not be liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You irrevocably agree to submit to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India for the resolution of any disputes arising out of or relating to these Terms or your use of TakeOne. Any cause of action or claim you may have arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.
15. Changes to Terms
TakeOne reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page or by sending you an email notification. Your continued use of TakeOne after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must stop using TakeOne.
